11. Referral Programme

Caleta operates an informal referral programme for individuals and businesses who introduce new clients to our services.

Eligibility

  • Open to anyone who introduces a new client to Caleta
  • The referred client must not have an existing relationship with Caleta
  • You must disclose any referral arrangement to the referred party

Commission

  • Commission rates are agreed on a case-by-case basis before the referral
  • Commission is payable only after the referred client pays their first invoice
  • Commission is paid within 30 days of the qualifying payment

Conditions

  • Caleta reserves the right to accept or decline any referred client
  • No commission is payable if the referral does not result in a paid engagement
  • Referral commission cannot be combined with other discounts or promotions
  • Caleta may modify or discontinue the referral programme at any time
  • This programme does not create an employment, agency, or partnership relationship

12. Caleta Cost Review: End User Licence Agreement

This section applies when you use the Caleta Cost Review SaaS application at caleta.io/cost-review/. It is in addition to the other clauses of these Terms.

12.1 Service description

Caleta Cost Review reads cost and configuration data from the Microsoft Azure subscriptions you authorise, and presents findings and recommendations intended to reduce your Azure spend. The service operates on a read-only basis and does not make changes to your environment.

12.2 Microsoft disclaimer

The service uses Microsoft Azure APIs. Microsoft Corporation is not a party to this agreement and provides no warranties regarding the service. All warranties and liability on behalf of Microsoft are expressly disclaimed. Any claims relating to the service must be brought against Caleta IT Solutions Ltd, not Microsoft.

12.3 Warranties and liability

  • The service is provided "as is", with reasonable skill and care
  • We do not guarantee that any recommendation will produce a specific saving figure
  • Liability cap: £10,000. Caleta's total liability under this agreement is capped at £10,000 in aggregate
  • Excludes indirect, consequential, or incidental losses, lost profits, lost revenue, or lost data
  • Nothing in these terms limits liability for death, personal injury arising from negligence, fraud, or any liability that cannot be limited by law

12.4 Customer obligations

  • You warrant that you have authority to grant the service principal access to the subscriptions you connect
  • You are responsible for reviewing and approving any recommendations before implementing them
  • Caleta does not make changes to your Azure environment
  • You will not attempt to reverse engineer the service or use it to compromise any third party's environment

12.5 Termination

  • Either party may terminate the engagement on 30 days' written notice
  • You may revoke the application's access at any time from the Azure portal. Revocation takes effect immediately
  • On termination we delete your data within 7 days, save where retention is required by law

12.6 Governing law

This EULA is governed by the laws of England and Wales, consistent with clause 14 below.

13. Changes to These Terms

We may update these Terms of Service from time to time. Changes will be posted on this page with an updated revision date. Your continued use of the Site after changes are posted constitutes your acceptance of the revised terms.

14. Governing Law

These terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these terms or your use of the Site shall be subject to the exclusive jurisdiction of the courts of England and Wales.

15. Severability

If any provision of these terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
